Terms of Use for the public website.

These terms cover your use of the ValaisOS public website at valaisos.com, including Advisor Insights, the glossary, the registers, and the browser tools. They do not cover the ValaisOS product, which will receive its own terms before it opens.

Who operates this site

The public website is operated by ValaisOS LLC, a Colorado limited liability company ("ValaisOS," "we," "us"). By using the site you agree to these terms and to the privacy policy, and when you submit the early-access form you affirmatively accept both. If you do not agree, please do not use the site.

General information, not advice

Articles, glossary definitions, registers, tools, and every other page on this site are general information for a professional audience. They are not legal, compliance, tax, or investment advice, and they do not create an attorney-client, adviser-client, or other professional relationship. Requirements differ by firm, registration, jurisdiction, and circumstance. Confirm what applies to your firm with your own counsel and compliance staff before acting.

ValaisOS LLC is not a law firm, a broker-dealer, or a registered investment adviser, and nothing on this site is an offer of those services.

Browser tools

The tools under /tools/ run in your browser. Nothing you enter is sent to us. Their outputs depend on the inputs you provide and on the rules and public documents they cite as of the dates shown on each tool. Outputs are a starting point for your firm's own review, not a determination, and they require confirmation by your firm and its counsel.

Third-party information and registers

Registers and articles describe what third-party vendors, regulators, and other organizations publish. Those descriptions reflect the public documents we reviewed as of the reviewed date shown on the page. Vendors change their documents, and a register entry may fall behind. Where we could not find a provision, the register says so; it does not conclude that the provision does not exist. Corrections may be sent to hello@valaisos.com.

Content and permitted use

Unless a page states another license, site content is owned by ValaisOS LLC or its licensors. You may read, quote with attribution, and link to any page. Pages that carry a Creative Commons license may be reused under that license. Do not misrepresent the source of site content, remove attribution, or use the site in a way that disrupts it or interferes with other visitors.

Trademarks

ValaisOS, the ValaisOS mark, and the pronunciation aid va-LAY O-S are trademarks of ValaisOS LLC. Nothing in these terms grants a license to use them. You may refer to ValaisOS by name to describe or link to the site, and you may reproduce the boilerplate paragraph on the company page as written.

No warranties

The site and its content are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of accuracy, completeness, fitness for a particular purpose, and non-infringement. We work to keep content accurate and dated, but we do not warrant that any page, register entry, or tool output is current, complete, or error-free.

Limitation of liability

To the fullest extent permitted by law, ValaisOS LLC and its members, managers, and contributors are not liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits, data, or business, arising from your use of or reliance on the site, its content, or its tools. To the same extent, the total liability of ValaisOS LLC for all claims relating to the site is limited to one hundred United States dollars (US$100). Some jurisdictions do not allow certain limitations, in which case these limits apply to the extent permitted.

Changes to these terms

We may update these terms as the public site evolves. Material changes will be identified by a new effective date or version at the top of this page. Continued use of the site after a change means you accept the updated terms.

Governing law

These terms are governed by the laws of the State of Colorado, without regard to its conflict-of-law rules. Any dispute relating to the site or these terms will be brought exclusively in the state or federal courts located in Colorado, and you consent to their jurisdiction.
